RoberLabs Terms of Service

1. Introduction and Acceptance of Terms

By accessing or using the RoberLabs platform ("the Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). The Platform is owned and operated by Castle Grayskull LLC, a U.S.-based company. RoberLabs provides tools and workflows for the localization, subtitling, dubbing, and management of video content. These Terms govern your use of the Platform whether you are a Channel User, Contributor, or Visitor.

These Terms become effective upon account creation or first use of the Platform, whichever occurs first.

2. Definitions

“Platform” refers to the RoberLabs web application, including all associated tools, services, and interfaces.

“Channel User” refers to an authorized user who uploads original content to the Platform and initiates projects for localization.

“Contributor” or “Freelancer” refers to a user contracted to complete tasks (e.g., translations, dubbing, subtitling) within the Platform.

“Candidate Data” refers to any personal information submitted by individuals for recruitment, onboarding, or evaluation purposes.

“Castle Grayskull” refers to the legal entity that owns and operates the RoberLabs platform.

3. Account Creation and Eligibility

To use the Platform, you must:

  • Be at least 18 years old and legally capable of entering into contracts;
  • Create an account with accurate information and maintain its security;
  • Be responsible for all activity conducted under your account.

Castle Grayskull reserves the right to approve or reject access requests at its sole discretion.

4. Use of the Platform – Contributors

Contributors must be invited and approved before gaining access to projects. All work must be completed within the Platform environment. Users are prohibited from downloading, sharing, or storing any assets unless explicitly authorized.

By participating as a Contributor, you agree that you are an independent contractor, responsible for your own taxes and compliance with local laws.

5. Use of the Platform – Channel Users

Authorized Channel Users may use the Platform to manage the localization of their own content, including initiating projects, reviewing work, and connecting distribution channels.

By registering as a Channel User, you agree to the following:

Media Upload and Project Creation

You may upload your company’s media stems, video assets, and metadata to initiate new projects. RoberLabs will handle all internal task building. You confirm that you own or have full rights to use any content uploaded.

Team Access and Management

You may request account access for your internal team members. Each will require their own login. Channel Users are responsible for managing permissions and maintaining the confidentiality of their team’s access.

Content Ownership and Access Scope

You will only be able to view and manage projects associated with your verified company or channel. Projects remain visible only to your authorized users.

Third-Party Contributor Access

You understand and accept that your content may be accessed by a vetted network of freelance Contributors for the sole purpose of localization. While RoberLabs implements confidentiality and quality controls, you acknowledge this distribution as part of the workflow.

Review and Feedback

After localization work is completed, you will have access to built-in review tools to approve, reject, or provide feedback. Final approvals must be confirmed within the Platform.

Social Media API Integration

You may connect your publishing channels (e.g., YouTube) via API key to directly transfer completed content. You are responsible for the accuracy and security of these credentials.

Project Oversight and Reporting

You may monitor the progress of multiple projects, view task statuses, and generate overviews using the Platform’s project management features.

6. Confidentiality and Non-Disclosure (Binding NDA Clause)

6.1. Definition of Confidential Information

"Confidential Information" includes:

  • Unreleased video content, scripts, audio files, subtitles, and timecoded assets;
  • Internal communications, project specifications, and contributor feedback;
  • The design, structure, and workflows of the RoberLabs platform;
  • Information relating to Channel Owners, Channel Users, or platform operations.

Confidential Information does not include publicly known information or disclosures required by law (provided prior notice is given where permissible).

6.2. Obligations

You agree to:

  • Keep all Confidential Information strictly confidential;
  • Use it only within the context of your approved Platform activities;
  • Not download, copy, or share Confidential Information without explicit authorization;
  • Securely handle any temporary access to sensitive materials.

6.3. Duration

These obligations begin immediately upon access and last five (5) years after termination of your relationship with the Platform — or in perpetuity in the case of trade secrets or proprietary technology.

6.4. Return or Destruction

Upon termination or request, you must delete or return all Confidential Information and certify this upon request.

6.5. Remedies for Breach

Breach of confidentiality may result in account termination, legal action, and financial damages.

6.6. Off-Platform Interactions and External Communications

These Terms apply to all interactions and communications related to your engagement with the Platform, whether they occur within the Platform or externally, including but not limited to:

  • Email conversations;
  • Group chats (e.g., Gchat, Slack);
  • Voice or video calls;
  • Recruitment and onboarding discussions;
  • Direct messages initiated by or involving RoberLabs administrators or agents.

Any Confidential Information shared through these external channels is subject to the same non-disclosure obligations outlined above. Users must treat all such information as protected, whether it is shared digitally, verbally, or in writing.

Contributor Responsibility and Prohibited Output

All work submitted via the Platform must represent a faithful and accurate reflection of the original source content, in both meaning and tone. Contributors are solely responsible for ensuring the final localization (including translated text, dubbed audio, and subtitles) is appropriate, culturally sensitive, and true to the original material.

Prohibited Actions

The following actions are strictly prohibited and may result in immediate removal from the platform and legal action:

  • Submitting work that intentionally distorts or misrepresents the original content;
  • Introducing opinions, misinformation, fabricated dialogue, or unauthorized creative edits;
  • Using inflammatory, offensive, or discriminatory language;
  • Producing output that may harm the reputation of the Channel Owner, Channel User, or their brand;
  • Marking content as "complete" without proper review or quality assurance.

While minor translation errors or stylistic issues may be addressed through standard feedback and revision workflows, any negligent, malicious, or repeated violations will be treated as gross misconduct.

Contributors acknowledge that RoberLabs cannot review all submitted content and therefore assume full liability for the accuracy and integrity of the final output.

Violations may result in immediate termination, removal from the platform, and legal action where appropriate. RoberLabs reserves the right to report such behavior to Channel Users or relevant authorities.

7. Payment Terms for Contributors

Contributors receive a monthly Proof of Work receipt summarizing approved completed tasks.

  • If you are onboarded via Deel, payments are processed automatically per Deel's schedule.
  • If you are not onboarded via Deel, you must submit an invoice in USD matching the Proof of Work amount.
  • Your invoice should include your basic details, work description, and payment information.
  • Submission instructions are provided with your receipt.

Castle Grayskull does not guarantee exact payment timing, as all invoices are processed manually by the accounts team.

8. Ownership and Intellectual Property

  • Channel Users retain ownership of all media they upload to the Platform.
  • Localized outputs (e.g., subtitles, dubbed audio) produced by Contributors are considered work-for-hire and remain the intellectual property of the original Channel Owner.
  • Unauthorized sharing, reuse, or commercial use of content is strictly prohibited.

9. Platform Protection and Non-Replication

You may not:

  • Reverse-engineer, copy, or clone any part of the Platform;
  • Build or assist in building competing services using knowledge gained from RoberLabs;
  • Solicit internal team members or freelancers to replicate features or workflows.

Violations may result in termination and legal action for damages or injunctive relief.

10. Prohibited Activities

You may not:

  • Access content unrelated to your account or organization;
  • Share account credentials;
  • Upload malicious or unauthorized materials;
  • Use the Platform for illegal purposes.

11. User Interaction and Moderation

The Platform enables limited communication between Channel Users and Contributors via comment flags, review tools, and feedback features.

All users agree to:

  • Engage respectfully and professionally;
  • Use Platform tools only for task-related feedback;
  • Refrain from harassment, abuse, threats, or discriminatory language;
  • Not attempt to contact other users outside the Platform.

Castle Grayskull does not review all user interactions and assumes no responsibility for the accuracy, tone, or intent of user-generated content. We may moderate or remove content at our discretion but are not obligated to do so.

Castle Grayskull is not a party to, and disclaims all liability for, any disputes, misunderstandings, or damages that arise from interactions between users. Users expressly release Castle Grayskull, its officers, and affiliates from any claims or liabilities related to such interactions, including but not limited to defamation, content misuse, or inappropriate communication.

12. Termination

Castle Grayskull may suspend or terminate any account without notice. You may also close your account at any time. Rights and obligations related to confidentiality, payments, or content ownership survive termination.

13. Dispute Resolution and Arbitration

All disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules.

  • Arbitration may be conducted remotely.
  • Small claims court remains an option where permitted.
  • Each party pays its own legal fees.

14. Limitation of Liability

Castle Grayskull is not liable for indirect, incidental, or consequential damages. Liability is limited to the total amount paid by you (if any) in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Castle Grayskull and its affiliates from claims, losses, or liabilities arising from your use of the Platform or your breach of these Terms.

16. Data Protection

We are committed to protecting user data. Please refer to our Privacy Policy for full details.

17. Candidate Data Retention and Deletion

Candidate Data is retained while you are under consideration for a role and up to 3 years after. You may request deletion at any time. Legal or business justifications may require limited retention.

18. Your Rights

You have the right to:

  • Access, correct, or delete your personal data
  • Request data portability
  • Withdraw consent or object to processing

19. International Data Transfers

Candidate and project data may be transferred to servers in the U.S. in compliance with the EU-U.S. Data Privacy Framework, UK Addendum, and Standard Contractual Clauses.

20. Cookies and Analytics

21. Modification of Terms

Castle Grayskull reserves the right to modify these Terms at any time, with or without notice. Changes are effective upon posting. Continued use of the Platform constitutes your acceptance. You are responsible for reviewing the Terms periodically.

22. Governing Law

These Terms are governed by the laws of the State of California, USA. Any disputes must be brought in courts located in California unless resolved via arbitration.
